UK Regulator Probes $65 Billion Unilever-McCormick Merger
The UK Competition and Markets Authority is investigating whether a $65 billion merger between Unilever and McCormick would reduce competition in the UK market.
The Competition and Markets Authority launched an investigation on September 16 into a $65 billion merger between the foods business of Unilever and the U.S. spice maker McCormick. The UK regulatory body is examining whether the deal would reduce competition within the domestic market, with a Phase 1 decision deadline set for November 11.
First announced in March, the merger would combine major brands such as Knorr, Hellmann's, French's, and Frank's RedHot to create one of the largest flavorings and food products companies globally. Under the agreed terms, Unilever and its shareholders would hold a 65% stake in the combined entity, while McCormick shareholders would own the remaining 35%.
Fernando Fernandez, Chief Executive of Unilever, stated that the combination of the two companies' portfolios and global reach is establishing a business with significant growth and value creation potential. McCormick CEO Brendan Foley expressed confidence that the integration roadmap and partnership between the two firms will enable them to capture the full value of the opportunity.
