Anthropic Prepares IPO With Restricted Investor Voting Power

Anthropic is preparing to go public while maintaining a corporate structure that prevents public investors from influencing company decision-making.

Anthropic is preparing for an initial public offering but will implement a corporate structure that limits the influence of public investors. Control of the company is split between two groups: a clique of seven founders, including CEO Dario Amodei and his sister Daniela, who hold 50.1% of shareholder voting power, and a trust authorized to appoint four of the seven company directors.

This arrangement ensures the founders maintain control over shareholder votes while the trust manages the board of directors. In its S-1 filing, the company justified the structure by stating that the consequential and potentially dangerous nature of artificial intelligence requires leadership focused on goals beyond share price.

Anthropic noted that company executives and trustees have collaborated closely on the selection of trustees to ensure alignment in perspective.
