Z Squared Inc. to Acquire Paradox Data for $25 Million
Z Squared Inc. signed a definitive agreement to acquire Paradox Data and its Arkansas data center campus to develop 150 MW of AI-ready capacity.
Z Squared Inc. signed a definitive agreement to acquire 100% of Paradox Data, LLC from Paradox Infrastructure LLC for up to $25 million. The deal centers on the Union County Campus in El Dorado, Arkansas, which provides a development pathway to reach 150 MW of AI-ready capacity.
The transaction uses Series A Convertible Preferred Stock for consideration. Z Squared will pay $5 million at closing, with the remaining $20 million structured as milestone payments tied to capacity thresholds of 50 MW, 100 MW, and 150 MW. The company has engaged A2 Advisors to assist with capital strategy and site development.
Chief Executive Officer David Halabu described the structure as "scale with discipline," noting that it keeps the company's balance sheet debt-free. Chief Technology Officer Jeffery Harris stated that post-closing efforts will prioritize the engineering, utility, and generation workstreams necessary to achieve large-scale capacity. The transaction is expected to close within 30 days, with a final deadline of September 30, 2026.
