European Central Bank Clears UniCredit to Take Control of Commerzbank
The European Central Bank authorized UniCredit to exceed shareholding limits in Commerzbank, paving the way for the Italian lender to take control by 2027.
The European Central Bank has authorized UniCredit to exceed the 30 percent shareholding threshold in Commerzbank, allowing the Italian lender to increase its equity stake without an upper limit. This regulatory clearance enables UniCredit to fulfill the conditions of its offer by the end of 2026, at which point it expects to hold approximately 50 percent of Commerzbank's voting rights.
Bettina Orlopp, CEO of Commerzbank, previously indicated that the bank expected regulatory approval within days or weeks. She noted that the merger offers value through joint procurement, shared cybersecurity projects, and access to UniCredit's presence in Eastern Europe. Full consolidation of Commerzbank into UniCredit is projected for the full year 2026 or the first quarter of 2027.
Beyond the acquisition, Orlopp reported that Commerzbank's loan growth is currently driven by international expansion in Asia and the United States, as domestic demand in Germany remains sluggish due to bureaucracy and energy costs. She also highlighted the bank's momentum 2030 strategy, which integrates AI to improve operational efficiency, though she warned that AI-driven cybersecurity threats remain a primary concern.
