Silicon Motion Plans $800 Million Convertible Notes Offering

Silicon Motion Technology announced plans to raise $800 million through an offering of convertible senior notes due in August 2031. The financing will be conducted via a private placement to qualified institutional buyers, with an option for purchasers to acquire an additional $120 million, which could bring the total capital raised to $920 million.
The company intends to use the proceeds for general corporate purposes and to repay outstanding amounts under its credit agreement. The notes will rank as senior unsecured obligations and will not carry regular interest payments.
Following the announcement, Silicon Motion shares fell 7.9% in pre-market trading on Monday. Investors reacted to the news by weighing the company's increased capital flexibility against the risk of future shareholder dilution that would occur if the notes are converted into American depositary shares.
