Hydrofarm Eliminates $109 Million Debt Through Recapitalization

Hydrofarm Holdings Group eliminated $109 million in debt via recapitalization and a direct offering to restore Nasdaq equity compliance and fund commercial expansion.

Hydrofarm Holdings Group, Inc. eliminated $109 million in debt through a recapitalization process, rendering the company effectively debt-free. As part of the agreement, former Term Loan lenders received $27.5 million in Series 1 Non-Voting Convertible Preferred Stock and warrants to purchase 27.5 million shares of common stock.

To further strengthen its position, the company raised approximately $8.3 million through a registered direct offering and a concurrent private placement. These financial maneuvers restored the company's compliance with the Nasdaq Equity Rule regarding minimum stockholders' equity, although Hydrofarm remains under monitoring for the Bid Price Rule.

With its balance sheet cleared, the company plans to scale its logistics services platform and expand its direct sales channel to commercial cannabis growers. This strategic shift comes as the company prepares to enter its 50th year of operation in 2027.
