Priority Technology Holdings to Go Private in $1.6 Billion Deal

Priority Technology Holdings agreed to be taken private by an investor group led by CEO Thomas Priore in a transaction with an enterprise value of approximately $1.6 billion. The investor group will acquire all outstanding shares it does not already own for $8.05 per share in cash, which represents a 38% premium over the company's closing price on Friday.
A special committee of independent directors unanimously recommended the deal after negotiating a price increase of more than 30%. Michael Passilla, chair of the special committee, stated that the transaction provides "compelling and certain value" to the company's unaffiliated stockholders following a rigorous valuation analysis and extensive negotiations.
The acquisition is partially financed through equity commitments from funds associated with Searchlight Capital Partners. The transaction is expected to close in the first half of 2027.
