BT Group Acquires TalkTalk for £400 Million to Prevent Collapse
BT Group acquired TalkTalk and PlatformX Communications for approximately £400 million to maintain service for 2.5 million customers following TalkTalk's financial decline.
BT Group acquired TalkTalk Telecommunications Limited and PlatformX Communications Limited on a debt-free basis to prevent the collapse of services for 2.5 million customers. The deal, which includes 1.5 million retail and 1 million wholesale clients, is estimated to have a £400 million cash impact in fiscal year 2027. TalkTalk had struggled with significant debt and losses despite reporting £1.2 billion in revenue over the last 12 months, with its retail base shrinking from 4 million in 2019 to 1.5 million this year.
BT stepped in after an unsuccessful sale process to protect critical infrastructure supporting healthcare, defense, and emergency services, including the British Ministry of Defence. The company expects a trading loss of £60 million for the remainder of the fiscal year. Clive Selley will lead the stabilization and integration of the acquired business, while Martijn Blanken has been appointed CEO of BT International.
The acquisition faces regulatory scrutiny. The Department for Digital, Culture, Media and Sport issued a Public Interest Intervention Notice, requiring the Competition and Markets Authority to investigate the deal's impact on market dominance and service continuity. This review is particularly significant as BT's Openreach is already the largest supplier for TalkTalk. The Competition and Markets Authority is expected to report its findings on October 19.
