SEBI Bars Zee Entertainment and Executives Over Land Pledge

The Securities and Exchange Board of India barred Zee Entertainment and its top executives from the securities market following an unauthorized land pledge in Hyderabad.

The Securities and Exchange Board of India (SEBI) barred Zee Entertainment Enterprises Ltd (ZEEL) from the securities market for two months and prohibited Chairman Emeritus Subhash Chandra and CEO Punit Goenka from the market for one year. The regulator imposed a total penalty of ₹1.48 crore, with ₹60 lakh fined to Chandra, ₹58 lakh to Goenka, and ₹30 lakh to ZEEL.

The sanctions follow an investigation into a 2018 agreement where ZEEL's property title deeds in Hyderabad were pledged to Indiabulls Housing Finance Ltd to secure loans for promoter-linked Essel Group entities. SEBI ruled this was an undisclosed related-party transaction that bypassed the company's audit committee. The regulator found that Subhash Chandra misused his authority by falsely claiming management approval to put a material asset at risk for personal benefit.

Shares of ZEEL fell approximately 13% on Monday following the announcement. The company is currently seeking legal advice and may challenge the order before the Securities Appellate Tribunal. While ZEEL maintains the order has no direct bearing on its fundraising exercise—estimated between ₹2,300 crore and ₹3,143.5 crore—legal experts suggest the transaction could be delayed or stalled without a stay from the tribunal.
