Vertex Pharmaceuticals Agrees to Acquire Crinetics for $10 Billion

Vertex Pharmaceuticals will acquire Crinetics Pharmaceuticals for $85 per share to expand its portfolio into specialty endocrinology and rare endocrine diseases.

Vertex Pharmaceuticals entered into a definitive agreement on July 6, 2026, to acquire Crinetics Pharmaceuticals in an all-cash transaction valued at approximately $10 billion. Vertex will pay $85.00 per share, representing a premium of about 102 percent over the closing price from the preceding Monday. The acquisition, the largest in Vertex's history, was unanimously approved by both companies' boards and is expected to close in the third quarter of 2026, pending regulatory and shareholder approval.

The deal allows Vertex to diversify beyond its cystic fibrosis franchise by establishing specialty endocrinology as a new business pillar. Key assets include Palsonify, an FDA-approved treatment for acromegaly, and atumelnant, a Phase 3 therapy for congenital adrenal hyperplasia. Vertex projects these assets will generate over $5 billion in combined peak annual revenue and expects the transaction to become accretive to adjusted operating income by 2029.

Vertex plans to fund the purchase using cash on hand and debt, supported by $4.5 billion in committed bridge financing from Bank of America and Morgan Stanley Senior Funding. Vertex CEO Reshma Kewalramani described Crinetics as a strategic fit for the company's focus on serious diseases with significant unmet needs, while Crinetics CEO Scott Struthers stated that Vertex's global infrastructure would amplify the reach of their science.
