Flashlight Capital Offers $655 Million for Samsung S-1 Stakes
Flashlight Capital Partners offered 906.6 billion won to acquire S-1 Corp. shares held by five Samsung affiliates to test new South Korean fiduciary laws.
Flashlight Capital Partners, a Singapore-based activist investor, has launched an unsolicited bid to acquire a combined 20.6% stake in S-1 Corp. held by five Samsung affiliates. The offer targets holdings owned by Samsung SDI, Samsung Life Insurance, Samsung Fire & Marine Insurance, Samsung Securities, and Samsung Card.
Flashlight proposed a price of 116,000 won per share, totaling 906.6 billion won ($655 million). This valuation represents a 45% premium over the recent closing price and exceeds the all-time record high for S-1 shares. Founder Sanghyun Lee argues that the affiliates have no strategic reason to retain these non-core assets and that a sale would free up capital for core business investments or shareholder returns.
The bid serves as a direct test of South Korea's 2025 Commercial Act revision, which expanded the fiduciary duties of directors to include all shareholders rather than only controlling interests. Flashlight has given the boards of the five Samsung affiliates until September 23 to respond to the proposal.
