Curium to Acquire Lantheus Holdings for Up to $8 Billion
Curium entered a definitive agreement to acquire Lantheus Holdings for up to $8 billion to expand its global radiopharmaceutical and diagnostics footprint.
Curium entered into a definitive agreement to acquire Lantheus Holdings in a transaction valued at up to $8 billion. Under the terms of the deal, Lantheus shareholders will receive $102.50 per share in cash at closing. An additional payment of up to $12 per share may be provided through non-transferable Contingent Value Rights, which are tied to commercial milestones for neurology, prostate cancer, and DEFINITY business sales through 2030.
The merger combines the global manufacturing and theranostics portfolio of Curium with the U.S. radiodiagnostics operations of Lantheus. The goal of the integration is to serve patients in more than 70 countries. The Lantheus Board of Directors has unanimously approved the transaction.
Company leadership described the move as a strategic acceleration of growth in the nuclear medicine sector. The deal is expected to close in the first half of 2027, pending necessary regulatory and shareholder approvals.
