NextEra Energy Proposes $67 Billion Merger With Dominion Energy

NextEra Energy, Inc. and Dominion Energy, Inc. have entered into a definitive agreement for an all-stock merger valued at approximately $67 billion. The transaction would create the world's largest regulated electric utility, serving 10 million customer accounts across Florida, Virginia, and the Carolinas, primarily to meet surging electricity demand from artificial intelligence data centers.

To address skepticism from Virginia officials regarding retail ratepayer costs and employment, NextEra Energy and Dominion announced a benefits package on September 14. The proposal includes doubling residential bill credits from two to four years, investing $100 million into energy bill assistance, and establishing a supplier program worth up to $1 billion annually for five years. The companies also pledged to create 1,000 new energy jobs and construct a NextEra office tower in Richmond.

Despite these offers, Governor Abigail Spanberger has formally intervened in the process, questioning the deal's benefits for the state. Lieutenant Governor Ghazala Hashmi has also launched a listening tour and submitted 64 questions to the companies. The Virginia State Corporation Commission is overseeing the approval process and will hold public hearings through November.

Beyond Virginia, the merger faces opposition from five New England states, led by Massachusetts Governor Maura Healey, who expressed concerns regarding market competition and energy costs. The companies currently manage significant long-term debt, with NextEra at $104.2 billion and Dominion at $46.7 billion.
