Starman Optical Acquires GoPro in $285 Million Merger
Starman Optical will acquire GoPro for $285 million to expand into defense and commercial markets following a stock surge driven by investor Mark Fischbach.
Starman Optical has agreed to acquire GoPro in a $285 million merger deal announced Tuesday. Under the terms, Starman Optical will pay GoPro shareholders $1.14 per share, leaving them with approximately 10% of the combined entity. The transaction, expected to close by the end of 2026, will eliminate GoPro's $92 million in outstanding debt.
The deal follows a period of financial instability for GoPro, which warned in June of potential insolvency. CEO Nick Woodman invested $20 million into the company in July to sustain operations. Simultaneously, content creator Mark Fischbach acquired an 8.5% stake in the company valued at $20 million, becoming its largest shareholder. This investment triggered a retail trading surge that saw GoPro stock rise 173% to an intraday high of $1.64 on Tuesday.
The combined company intends to maintain GoPro's consumer product line while expanding into commercial and defense markets, specifically focusing on data centers and onshoring the manufacturing of optical components to the United States. While retail traders have embraced GoPro as a meme stock, some investors warn that the company's fundamentals, including ongoing losses, do not support the current rally.
