Proofpoint to Acquire Varonis Systems for $6.3 Billion

Proofpoint will acquire Varonis Systems in an all-cash transaction valued at $6.3 billion, taking the data security company private by early 2027.

Proofpoint entered into a definitive agreement to acquire Varonis Systems in an all-cash transaction valued at approximately $6.3 billion. Under the terms of the deal, Varonis shareholders will receive $49.75 per share, a 52% premium over the closing price on June 22.

The acquisition is funded through committed equity and debt financing from Thoma Bravo, the owner of Proofpoint, with additional investment from the Ontario Teachers' Pension Plan. The Varonis Board of Directors unanimously approved the transaction, which is expected to close in the first half of 2027 pending regulatory and shareholder approval.

Upon completion of the deal, Varonis will cease trading on the Nasdaq and become a private company. The combined entity will integrate the capabilities of both firms into a single platform serving more than 16,000 enterprises globally. Yaki Faitelson, CEO and Chairman of Varonis, stated that the announcement followed a comprehensive evaluation led by a committee of independent board members and extensive outreach to potential buyers.
