Nielsen Holdings to Acquire DoubleVerify in $2.15 Billion Deal
Nielsen Holdings agreed to acquire DoubleVerify Holdings Inc. for $2.15 billion to expand its digital media measurement and advertising effectiveness capabilities.
Nielsen Holdings agreed to acquire DoubleVerify Holdings Inc. in a take-private transaction valued at $2.15 billion. The deal provides DoubleVerify investors $13.60 per share, a 60% premium over the stock's 60-trading day volume weighted average as of August 5.
The acquisition aims to strengthen Nielsen's ratings business and expand its digital media reach by integrating DoubleVerify's advertising effectiveness measurement services. Nielsen CEO Karthik Rao stated the combination would unite two organizations focused on strengthening independence and trust in advertising.
Providence Equity Partners LLC, which holds an 11.8% stake in DoubleVerify, has agreed to vote in favor of the transaction. Nielsen will fund the purchase using cash on hand, incremental equity financing, and committed debt financing provided by Barclays Plc, Bank of America Corp., and Citigroup Inc.
