Judge Approves $1.5 Million SEC Settlement With Elon Musk

U.S. District Judge Sparkle L. Sooknanan approved a $1.5 million settlement on Wednesday between the Securities and Exchange Commission (SEC) and Elon Musk to resolve a lawsuit regarding Musk's 2022 acquisition of Twitter shares. The SEC alleged that Musk delayed disclosing his stake after crossing the 5% ownership threshold by 11 days, a move that allowed him to purchase shares at lower prices and saved him approximately $150 million at the expense of other shareholders.

Under the terms of the agreement, a revocable trust in Musk's name will pay the civil penalty. While the SEC defended the amount as the largest ever for this type of violation, Musk's attorney, Alex Spiro, described the penalty as a small fine. Musk admitted no wrongdoing, claiming the delayed disclosure was inadvertent.

Judge Sooknanan approved the accord but expressed significant misgivings and noted red flags concerning the SEC's handling of the case. She specifically questioned why the agency dropped demands for the disgorgement of $150 million in ill-gotten gains, why the settlement was reached with a trust rather than Musk personally, and the timing of the May 2026 deal while Musk served as a special government employee under President Donald Trump. Sooknanan concluded that while the court is not a rubber stamp, it was limited to ensuring the deal met minimum legal standards of fairness and reasonableness, leaving the question of whether the SEC did enough to hold Musk accountable for the citizenry to decide at the ballot box.
