Tata Sons and Tata Trusts Clash Over Leadership and IPO

Tata Sons and its majority shareholder, Tata Trusts, are locked in a legal battle over the reappointment of Chairman N Chandrasekaran and a mandated public listing.

A governance crisis has erupted within the Tata Group following a September 17 board meeting at Bombay House in Mumbai. The board of Tata Sons voted 4-1 to reappoint Executive Chairman Natarajan Chandrasekaran for a third five-year term, reversing his August decision to step down. The board also resolved to pursue a public listing to comply with a September 11 directive from the Reserve Bank of India, which rejected the company's application to surrender its registration as a core investment company.

Noel Tata, Chairman of Tata Trusts—the philanthropic entity holding a 66 percent stake in Tata Sons—cast the sole dissenting vote against both resolutions. He has declared the reappointment a "legal nullity" and "void ab initio," arguing that the company's Articles of Association require affirmative support from a majority of Trust nominee directors. While Trust nominee Venu Srinivasan supported the reappointment, Noel Tata contends that a casting vote by independent director Harish Manwani cannot override the Trust's veto rights.

To avoid a public listing, which Noel Tata argues would "destroy its character" as a vehicle for national service, Tata Trusts proposed a ₹25,000-crore buyout of a portion of the Shapoorji Pallonji Group's 18.4 percent stake. More recently, the Trusts proposed restructuring Tata Sons into an operating company by merging businesses like Tata Electronics Systems Solutions into the holding company to escape the Reserve Bank of India's listing mandate. The dispute has drawn high-profile legal counsel, with Harish Salve representing Tata Sons and Abhishek Manu Singhvi representing Tata Trusts, as the matter moves toward judicial adjudication.
