Agilent Technologies to Acquire Proscia for $240 Million
Agilent Technologies agreed to acquire digital pathology software provider Proscia for $240 million in cash to integrate AI-based image analysis into its diagnostics group.
Agilent Technologies agreed to acquire Proscia, a digital pathology software provider, for $240 million in cash. The deal includes potential milestone payments of up to $30 million based on future performance. The transaction is expected to close early in Agilent's fiscal 2027.
Proscia generated over $18 million in revenue over the last 12 months and serves more than 4,000 laboratories, hospitals, and clinics, including 16 of the top 20 pharmaceutical companies. Agilent intends to integrate Proscia's software, which connects scanners, laboratory information systems, image analysis, and artificial intelligence tools, into its Life Sciences and Diagnostics Markets Group.
This acquisition follows a multiyear distribution agreement established in 2023 to combine pathology staining products with the Concentriq Dx platform to address rising biopsy volumes and pathologist shortages. Padraig McDonnell, Chief Executive of Agilent Technologies, stated the purchase would connect pathology data generation with AI-based interpretation.
