JetBlue Board Members Resign Following Carl Icahn Agreement
JetBlue Airways announced the immediate resignation of two board members as part of a prior agreement with activist investor Carl Icahn.
JetBlue Airways announced on Thursday that board members Jesse Lynn and Steven Miller have stepped down from the company's board effective immediately. The resignations fulfill a 2024 agreement between the airline and Icahn Enterprises, the firm led by activist investor Carl Icahn, which was originally designed to prevent a proxy fight.
Lynn, the general counsel of Icahn Enterprises, and Miller, a portfolio manager at Icahn Capital, joined the board after Icahn disclosed a 10% stake in the airline in 2024. Since that initial investment, Icahn's ownership stake has decreased to 3.32%.
Carl Icahn expressed appreciation for the partnership and stated he looks forward to the airline continuing to execute its JetForward strategy. The JetBlue board now consists of 11 members, 10 of whom are independent.
