Kustom Entertainment Acquires TFL to Expand Ticketing Reach

Kustom Entertainment, Inc. announced on September 1, 2026, that it has agreed to acquire TFL, LLC, a wholesale ticketing distribution and live event technology platform. The deal integrates TFL's e-commerce platform, which powers TicketSmarter.com, into Kustom's existing festival assets to enable broader distribution and dynamic pricing capabilities.

This acquisition expands Kustom's operational reach into major sports ecosystems, including the NFL, MLB, and NCAA. Kustom will acquire all equity units of TFL through a combination of cash and shares, with a portion of the share consideration contingent on the achievement of future EBITDA milestones.

TFL's leadership team will remain with the company under long-term employment agreements to ensure continuity. Roth Capital Partners served as the exclusive financial advisor to Kustom Entertainment for the transaction.
