Anthropic is establishing a Founder LLC as part of its initial public offering to ensure leadership can prioritize AI safety and the public good over market pressures. The new vehicle, composed of the company's seven co-founders, will control a single share of Class F stock representing 50.1% of the total voting power on key corporate matters.
Operating as a Public Benefit Corporation under Delaware law, the company will balance investor interests with the broader benefit of humanity. Anthropic warned in its filing that this governance structure may lead to decisions that conflict with financial interests, potentially negatively impacting the value of Class A common stock.
To support this mission, the co-founders have pledged 80% of their personal equity to charitable causes. Corporate governance will be shared between the Founder LLC and a Long-Term Benefit Trust, which is responsible for electing four of the company's board directors.
