Following the deal in December 2025, Boeing discovered hundreds of millions of dollars in additional costs, primarily linked to off-market customer contracts that exceeded initial estimates.
By June 30, 2026, the fair value of Spirit's identifiable assets was $1.9 billion less than its combined liabilities. This discrepancy led Boeing to increase its goodwill allocation to $10.3 billion. While current accounting rules permitted the company to absorb these losses on the balance sheet rather than the income statement during the first year, any liabilities uncovered after the one-year true-up window will directly impact future earnings.
Despite these financial setbacks, Boeing maintains that the integration of Spirit AeroSystems is essential for strengthening its production system, quality performance, and ability to meet future rate increases.
