Proofpoint, a cybersecurity firm backed by private-equity firm Thoma Bravo, is in advanced talks to acquire Varonis Systems. The news of the discussions triggered a jump of over 10% in Varonis shares on Wednesday, pushing the Miami-based company's market value to approximately $5.4 billion.
Varonis had previously explored sale options in June following a year of stock decline, which dropped roughly 20% after a significant revenue miss in October. The potential deal comes as Thoma Bravo managing partner Orlando Bravo maintains optimism about the software industry, despite the firm recently exiting some investments and handing software maker Medallia over to creditors.
A final agreement is not yet guaranteed, as the companies remain in negotiations and the possibility exists that talks could collapse or competing suitors may emerge.
