Elon Musk Proposes $3.5 Trillion SpaceX and Tesla Merger

Elon Musk announced that SpaceX and Tesla have formed special committees to explore a merger that would consolidate his AI, robotics, and aerospace interests.

CEO Elon Musk announced on October 21, 2026, that SpaceX and Tesla, Inc. have formed special committees of independent directors to explore a potential merger. The proposed combination would create a conglomerate valued at approximately $3.5 trillion, integrating interests in electric vehicles, rockets, satellites, and artificial intelligence. Musk stated the move has merit due to synergies in chip design and superintelligent software, though he cautioned that viewing the deal as a certainty would be "overstating it."

Because he is a conflicted party, Musk is recused from the special committees' deliberations. Any agreement would require approval from holders of at least 50 percent of Tesla, Inc. shares. The announcement followed a strong third-quarter report from SpaceX, which recorded its first quarterly profit with $14.6 billion in revenue, driven largely by its AI business. Musk projected that SpaceX could reach $1 trillion in annual revenue by 2028, accelerating his previous estimates of 2029 or 2030.

The merger faces significant regulatory hurdles. Analysts highlight a conflict between SpaceX's sensitive U.S. defense contracts and Tesla, Inc.'s heavy manufacturing reliance on China. Potential solutions include a two-way firewall for data and technology or the divestment of Chinese operations. The companies already collaborate on the Terafab chip facility in Austin, Texas, which plans to commission equipment in 2027. While some Wall Street analysts view the merger as inevitable to fund massive AI infrastructure spending, others warn of a conglomerate discount or increased shareholder scrutiny.
