IonQ Agrees to Acquire Elisity for $1.3 Billion

IonQ agreed to acquire cybersecurity firm Elisity in an all-stock deal valued up to $1.3 billion to combat quantum-driven security threats.

IonQ agreed to acquire cybersecurity firm Elisity in an all-stock transaction valued at up to $1.3 billion. The deal includes up to $150 million in earnouts based on future performance, with an exchange ratio for IonQ shares set between $33.07 and $49.61.

IonQ Chairman and CEO Niccolo de Masi stated the acquisition addresses growing cybersecurity risks from artificial intelligence and quantum computing. De Masi specifically cited the threat of Q-Day, the point at which quantum computers may be capable of breaking public-key cryptography.

Elisity provides software designed to prevent the lateral propagation of ransomware and intruders within networks, with a client base primarily in the healthcare sector. This acquisition follows IonQ's previous $1.8 billion purchase of semiconductor manufacturer SkyWater Technology.

The move aligns with United States government priorities, including executive orders from President Donald Trump to strengthen federal cyber defenses and accelerate the development of quantum computing.
