Solar Industries India Proposes 22 Billion Rand Omnia Acquisition

Solar Industries India has launched an all-cash bid to acquire South Africa's Omnia Holdings for approximately 22 billion rand to expand its global explosives footprint.

Solar Industries India Limited has proposed an all-cash acquisition of Omnia Holdings Limited, a South African industrial-explosives and fertilizer company, for approximately 22 billion rand (roughly $1.4 billion). The Nagpur-based firm is offering 134.50 rand per share, representing a premium of between 14.3% and 35% depending on the benchmark price used.

The transaction, executed through subsidiaries Solar SA Investments and Solar Overseas Mauritius, would result in Omnia being delisted from the Johannesburg Stock Exchange and A2X markets to operate as a private company. The deal aims to create one of the world's largest integrated explosives and blasting solutions platforms by combining Solar's manufacturing scale with Omnia's expertise in mining and agriculture. Solar intends to leverage Omnia's infrastructure, including the largest nitric acid and ammonium nitrate production facilities in the region.

Omnia CEO Seelan Gobalsamy stated the deal is intended to accelerate growth and integrate Solar's technology, such as autonomous robotics and drones, into operations across Australia, Canada, and the United States. The acquisition provides Solar Industries access to existing facilities in Brazil and Indonesia, complementing its current operations in Ghana, Nigeria, Tanzania, and Zambia. The deal requires regulatory approval and a 75% vote from attending shareholders to proceed, though current management will remain in place.
