PicS N.V. Faces Securities Fraud Lawsuits Over IPO Disclosures

PicS N.V. is facing multiple class action lawsuits alleging the company concealed credit portfolio deterioration and deficient underwriting models during its January 2026 IPO.

Multiple law firms have filed securities class action lawsuits against PicS N.V., a Brazilian digital bank, alleging the company committed securities fraud during its January 30, 2026, initial public offering. The litigation, including the case FirstFire Global Opportunities Fund, LLC v. PicS N.V. in the U.S. District Court for the Southern District of New York, claims the company issued false and misleading statements regarding its credit evaluation procedures and the health of its loan portfolio.

Plaintiffs allege that PicS discovered deficient credit procedures in December 2025 but concealed this information in IPO documents. The lawsuits claim the company's Stage 3 formation rate—indicating high-risk or defaulted loans—jumped from 3.6% in September 2025 to over 7.1% in the fourth quarter of 2025. These deficiencies reportedly led to the reclassification of R$590 million in portfolio balances, resulting in an incremental expected credit loss charge of R$88 million.

Following these disclosures on March 19, 2026, the stock price dropped 22.5% to $12.27. By June 4, 2026, the share price fell below $9.00, representing a decline of over 50% from the $19.00 IPO price. The complaints further assert that PicS overstated the quality of its AI-driven underwriting models while failing to disclose risks associated with entering more volatile business lines prior to the offering. Eligible investors were given until August 4, 2026, to apply for the role of lead plaintiff.
