Nelson Peltz Leads $1.4 Billion Bid to Buy Wendy's
Trian Fund Management and a consortium of investors offered $1.4 billion to take Wendy's private to facilitate a corporate turnaround.
Trian Fund Management, led by Nelson Peltz, has offered to acquire Wendy's for approximately $1.4 billion to take the fast-food chain private. Trian is leading a consortium that includes Flynn Group, BlueFive Capital, and Sixth Street Partners, proposing a cash payment of $7.35 per share.
The bid represents a roughly 20% premium over the company's market value of $1.2 billion. Trian argues that Wendy's is at a "critical juncture" and requires significant capital investments and a complex turnaround that would be more effectively managed outside of public markets.
Wendy's stock has declined approximately 70% over the last five years. This decline follows operational missteps, including uneven service and a reliance on discounts, which caused the company to lose its position as the second-largest U.S. burger chain by sales to Burger King.
