Anthropic Restructures Governance to Limit Shareholder Influence
Anthropic is implementing a dual-layer governance structure to protect its leadership and mission from short-term investor pressure through special voting shares and a trustee-led board.
Anthropic is restructuring its corporate governance to insulate its leadership and long-term mission from outside shareholder pressure. The AI laboratory is preparing to grant CEO Dario Amodei and other co-founders a specific class of stock that provides extra voting power, ensuring founder control over key decisions.
To further buffer the company from investor interests, Anthropic will maintain its Long-Term Benefit Trust. This group of nonshareholder advisers, which includes former Federal Reserve Chair Ben Bernanke, holds the power to elect the majority of the company's seven-person board of directors through non-economic Class T shares.
This dual-layer approach combines direct founder control with a layer of disinterested trustees. The move follows a wider trend of technology founders securing special control rights, though the use of a trustee-led board remains an unconventional strategy for the industry.
