Fox Corporation Shareholders Approve $22 Billion Roku Acquisition
Fox Corporation shareholders and Roku investors approved a $22 billion merger to combine Fox's content with Roku's streaming technology.
Shareholders of Fox Corporation and Roku approved a $22 billion acquisition of Roku during special meetings on Wednesday. The deal, first announced in June, received 99.9% approval from Fox Class B common stock holders. The transaction includes $14.2 billion in cash and the remainder in Fox Class A common stock valued at $160 per share, leaving Roku stockholders with approximately 27% of Fox's outstanding shares upon closing.
Fox CEO Lachlan Murdoch described the merger as a transformative transaction designed to integrate Fox's live sports and news content with Roku's streaming technology. The acquisition would position Fox as the third-largest media distributor in the United States, behind only YouTube and Skydance.
The merger is expected to close in the first half of 2027, though it remains subject to regulatory approval. The United States Department of Justice extended the review period in September by issuing a second request for information under the Hart-Scott-Rodino Act.
