A proposed $111 billion merger between Paramount and Warner Bros. Discovery faces a legal battle after California Attorney General Rob Bonta and 11 other state attorneys general filed an antitrust lawsuit to block the deal. While the United States Department of Justice cleared the acquisition in June, the state-led litigation has pushed the trial to March 2027 and extended the merger timeline to June 2027.

Economic reports presented at an Oakland court hearing highlight severe regional risks. The Los Angeles County Department of Economic Opportunity estimates the merger could result in 15,567 corporate job losses and $4.06 billion in lost business output. A separate study by CVL Economics warns that 4,500 entertainment industry jobs in Los Angeles County are threatened over the next three years, impacting over 10,000 total job-years including indirect roles.

CEO David Ellison has petitioned Judge Araceli Martinez-Olguin for a $1.88 billion bond to cover ticking fees, as Paramount must pay investors $7 million per day starting October 1. Ellison has signaled plans to move corporate headquarters and executive staff out of California on October 1 if no settlement is reached. This threat has split local leadership; Mayor Karen Bass and IATSE seek an out-of-court settlement, while Councilmember Nithya Raman and the Writers Guild of America support the antitrust lawsuit.
