UK Regulator Clears $111 Billion Paramount Global and Warner Bros. Discovery Merger
The Competition and Markets Authority approved the $111 billion merger of Paramount Global and Warner Bros. Discovery after receiving pledges to protect British media plurality.
The Competition and Markets Authority cleared the $111 billion merger between Paramount Global and Warner Bros. Discovery, ruling that the deal does not pose a realistic prospect of substantially lessening competition in the United Kingdom. While the merger establishes the largest theatrical film distributor in the UK, the regulator found that sufficient competition remains from Disney, Universal, and Sony.
To secure approval, Paramount Global provided legally binding pledges to preserve the British media landscape. These commitments include maintaining the editorial independence of Channel 5 News, continuing Channel 5's operation as a Public Service Broadcaster, and preserving the distinct identities of children's channels such as Cartoon Network and Nickelodeon.
The approval follows a probe requested by UK Culture Secretary Lisa Nandy to ensure the range of services for British audiences remained protected. Following the decision, Paramount Global criticized U.S. regulators, asserting that the UK's findings highlight the "misguided and gerrymandered" market definitions used by state attorneys general in antitrust complaints within California.
