Resilient Asset Management to Sell 4.98% Stake in Paytm

Resilient Asset Management BV plans to sell up to 4.98% of One 97 Communications Ltd through a block deal to benefit Antfin.

Resilient Asset Management BV, a Netherlands-based entity owned by Paytm founder and CEO Vijay Shekhar Sharma, plans to sell up to 4.98% of its stake in One 97 Communications Ltd. The sale will be conducted via block market trades on the NSE and BSE with a floor price of ₹1,535.10 per share. The transaction includes a base offer of 19.2 million shares valued at approximately ₹2,949 crore, with an option to upsize by 12.7 million shares for an additional ₹1,946 crore, potentially totaling ₹4,895 crore.

Under a 2023 optionally convertible debenture agreement, the economic value of the sale will be retained by Antfin (Netherlands) Holding BV. This move further reduces Antfin's indirect economic exposure to the fintech company after it fully exited its direct stake in August 2025. Goldman Sachs (India) Securities is serving as the placement agent for the deal.

One 97 Communications reported the transaction in a regulatory filing, stating it is not a party to the deal and that Sharma's direct shareholding remains unchanged. The divestment follows a period of financial recovery for Paytm, which reported a full-year profit after tax of ₹552 crore for FY26 and a Q1 FY27 profit of ₹220 crore.
