Tata Sons and Tata Trusts Clash Over Leadership and IPO

Tata Sons and its majority shareholder, Tata Trusts, are locked in a legal battle over the reappointment of Chairman Natarajan Chandrasekaran and a mandated public listing.

A governance crisis has erupted within the Tata Group following a September 17, 2026, board meeting at Bombay House. The board of Tata Sons voted 4-1 to reappoint Executive Chairman Natarajan Chandrasekaran for a five-year term, reversing his August decision to step down. The move was approved via a casting vote by independent director Harish Manwani after a split among Trust nominees: Venu Srinivasan voted in favor, while Noel Tata cast the sole dissenting vote.

Noel Tata, Chairman of Tata Trusts, has declared the reappointment a "legal nullity" and "illegal," arguing that the company's Articles of Association require affirmative support from a majority of Trust-nominated directors. Tata Sons has defended the decision using legal opinions from former judges, including Uday Lalit and BN Srikrishna, who asserted the resolution was validly passed.

Simultaneously, the board resolved to pursue a public listing to comply with a September 11 directive from the Reserve Bank of India, which rejected Tata Sons' application to surrender its core investment company registration. While the Shapoorji Pallonji Group supports an IPO to monetize its 18.4% stake, Tata Trusts opposes listing, claiming it would "destroy its character" as a vehicle for national service. To avoid the IPO, Noel Tata proposed a ₹25,000 crore buyout of the Shapoorji Pallonji stake and a restructuring of Tata Sons into an operating company.

The conflict is further complicated by the Maharashtra State Charity Commissioner, who restricted the Sir Ratan Tata Trust from convening meetings, preventing a quorum at the annual general meeting. Both factions have retained elite legal counsel, with the dispute now moving toward the National Company Law Tribunal and the Bombay High Court.
