Ontario Court Approves Thoma Bravo Acquisition of Kneat

The Ontario Superior Court of Justice issued a final order approving the acquisition of kneat.com, inc. by an affiliate of Thoma Bravo, L.P. The ruling clears the way for the private equity firm to acquire all outstanding common shares of the digital validation and quality process automation company, excluding any rollover shares.

This judicial approval follows an arrangement agreement signed by the two parties on June 8, 2026. The transaction is now pending the satisfaction or waiver of remaining closing conditions.

Thoma Bravo and Kneat expect to complete the acquisition on or about August 11, 2026.
