This financing move follows guidance from the United States Securities and Exchange Commission suggesting that certain data center debt may be exempt from risk-retention securitization rules established by the Dodd-Frank Act. The agency agreed with a petition from the law firm Latham & Watkins that data center securitizations are not self-liquidating assets, unlike residential mortgages, and therefore do not necessarily fall under the strict restrictions of Exchange Act asset-backed securities.
Legal experts indicate that this staff opinion allows investment sponsors to reduce the amount of equity they must maintain in these deals. This regulatory shift facilitates the massive capital requirements needed for the current expansion of AI infrastructure.
