Epiris Agrees to Acquire Gamma Communications for £1 Billion

Epiris has agreed to acquire Gamma Communications Plc, a European enterprise communications provider, for approximately £1 billion ($1.4 billion). The private equity firm offered 1,120 pence per share, which represents a 53% premium over the share price recorded on April 7.

Gamma Communications provides cloud communications, connectivity, and cybersecurity services across the United Kingdom, Germany, Spain, and the Netherlands. The company's board unanimously recommended the deal, which remains subject to shareholder and regulatory approval. Epiris intends to use the acquisition to drive growth, specifically by integrating artificial intelligence into Gamma's service offerings.

The transaction is expected to close in the first half of 2027. The agreement follows a period of interest from other firms; Waterland Private Equity and Giacom Platforms Ltd. held early discussions, while Providence Equity Partners and Oakley Capital withdrew from the process earlier this year.
