Global Business Travel Group Stockholders Approve Long Lake Merger

Global Business Travel Group stockholders approved a merger agreement with Long Lake, making the travel management provider a wholly owned subsidiary of Gaia Purchaser Inc.

Stockholders of Global Business Travel Group approved a merger agreement with Long Lake during a special virtual meeting on August 3, 2026. The deal, originally dated May 2, 2026, stipulates that Gaia Merger Sub Inc. will merge into Global Business Travel Group, resulting in the company becoming a wholly owned subsidiary of Gaia Purchaser Inc.

Preliminary voting results indicated that at least 466,895,035 of the 522,373,443 outstanding Class A common shares were represented, successfully establishing a quorum. In addition to the merger, stockholders approved a non-binding advisory proposal concerning compensation arrangements for named executive officers.

CEO Paul Abbott noted that this may be the company's final stockholder meeting since its initial public offering in May 2022. The company expects to report final certified results in a Form 8-K filing within four business days.
