Goldman Sachs Acquires Neos Investments Amid Tax Scrutiny

Goldman Sachs Group Inc. is acquiring Neos Investments for $2.25 billion as regulators scrutinize the boutique provider's tax-optimization strategies for derivative-income funds.

Goldman Sachs Group Inc. is acquiring boutique ETF provider Neos Investments for up to $2.25 billion. The deal integrates Neos's derivative-income funds into Goldman's asset management unit, bringing in flagship vehicles that have attracted $28 billion in assets over four years.

Neos utilizes return of capital accounting to minimize immediate tax burdens for investors, often resulting in lower costs than traditional index-tracking ETFs. However, the acquisition has drawn industry scrutiny regarding Neos's interpretation of the Internal Revenue Code. Critics and competitors question if the strategy of selling options while replicating underlying indexes violates the straddle rule, which limits loss harvesting and qualified dividend designations for offsetting positions.

While Goldman Sachs and Neos maintain their products are guided by internal policies and independent advisors, the U.S. Treasury Department and the Internal Revenue Service have signaled increased scrutiny of ETF maneuvers used to defer capital gains and avoid ordinary income distributions.
