Brown-Forman Rejects $15 Billion Sazerac Takeover Bid

Brown-Forman Corporation rejected a $15 billion unsolicited cash acquisition offer from Sazerac to maintain its independent strategic plan and family ownership.

The board of Brown-Forman Corporation, maker of Jack Daniel's, rejected an unsolicited $15 billion cash takeover bid from Sazerac. The proposal, first introduced on May 1 and reiterated in a letter on July 24, offered $32 per share for both voting Class A and nonvoting Class B shares. Sazerac sought to create a global beverage giant with 2026 revenues exceeding $12 billion, providing options for the controlling Brown family to roll their equity into the new entity with enhanced dividends and liquidity.

Brown-Forman's board deemed the offer not actionable after consulting Wolf Pen Branch, LP, a group of Brown family members representing the majority of voting shares. The family group stated the proposal did not align with their vision for the company's future. This rejection follows the April collapse of separate merger discussions between Brown-Forman and Pernod Ricard, which ended after Sazerac's initial interest emerged.

Chairman Marshall B. Farrer affirmed that the company remains focused on its independent strategic plan to expand its geographic footprint and improve operational efficiency. Sazerac executives expressed flexibility and a willingness to improve the terms of the offer should the board engage with them. A successful merger would have concentrated market power significantly, potentially controlling nearly 40% of the American whiskey market.
