Judge Orders Verisk to Proceed With AccuLynx Acquisition

A Delaware Chancery Court judge ordered Verisk to proceed with its $2.35 billion acquisition of roofing software maker AccuLynx. The ruling invalidates Verisk's attempt in late December to terminate the agreement after the U.S. Federal Trade Commission failed to complete its regulatory review by the December 26 deadline.

Judge Bonnie David stated that Verisk's "willful conduct caused the failure of a condition to closing." In addition to ordering the acquisition to move forward, the judge ruled that AccuLynx is entitled to damages for direct costs plus interest.

The transaction was first announced in July 2025. While the court has ordered the companies to proceed, the deal remains subject to final approval from the Federal Trade Commission.
