Anthropic Files IPO With $1.5 Trillion Expected Valuation
Anthropic filed for an initial public offering with a governance structure designed to prioritize AI safety and public benefit over investor pressure.
AI laboratory Anthropic filed for an initial public offering on Monday, positioning itself as the world's most highly valued public benefit corporation with an expected valuation of $1.5 trillion.
The company introduced a complex governance structure to insulate its operations from investor pressure and ensure its technology serves the wider good. Seven co-founders hold 50.1% voting power over specific matters through Class F supervoting stock. Long-term oversight is managed by a long-term benefit trust, chaired by Neil Buddy Shah, which controls Class T stock and maintains the authority to elect a majority of the board.
To prevent hostile takeovers and avoid authoritarian control, the company implemented staggered three-year board terms. This arrangement allows Anthropic to operate as a controlled company under Nasdaq rules, which exempts the firm from certain independent committee requirements.
