Dorchester Minerals to Acquire North Dakota Royalty Interests
Dorchester Minerals agreed to acquire 4,300 net royalty acres in the Williston Basin of North Dakota through a unit-based exchange agreement.
Dorchester Minerals, L.P. entered into an agreement on October 19, 2026, to acquire mineral and royalty interests in the Williston Basin of North Dakota. The Dallas-based partnership will acquire approximately 4,300 net royalty acres spanning three counties.
The transaction is structured as a non-taxable contribution and exchange agreement with an unrelated third party. Rather than using cash, the partnership will issue 1,250,000 common units representing limited partnership interests to finalize the deal.
As part of the agreement, any cash the contributing entity received from these interests on or after July 1, 2026, must be contributed to the partnership upon closing. The acquisition is expected to close on October 30, 2026, pending customary closing conditions.
