G Mining Ventures Acquires G2 Goldfields in Guyana Expansion

G Mining Ventures Corp. acquired all outstanding shares of G2 Goldfields Inc. to create a large-scale gold mining complex in Guyana.

G Mining Ventures Corp. completed a plan of arrangement on July 29, 2026, to acquire all issued and outstanding common shares of G2 Goldfields Inc. As part of the agreement, G2 shareholders received 0.212 common shares of G Mining Ventures and 0.50 common shares of G3 Goldfields Inc. for every G2 share held.

This transaction involved a spin-out of G3 Goldfields Inc., which has applied for a listing on the Canadian Securities Exchange. G2 Goldfields is expected to be delisted from the OTCQX market and the Toronto Stock Exchange. The acquisition combines two adjacent deposits in Guyana to establish a large-scale gold mining complex.

Following the deal, G Mining Ventures clarified that previous mineral resource estimates for the Oko-Ghanie Project are now classified as historical estimates. The company noted that further drilling and geological modeling are required to upgrade these to current mineral resources. Louis-Pierre Gignac stated that the move creates a fully permitted and financed tier-one complex in a prospective gold district.
