DOJ Investigates Andreessen Horowitz for Antitrust Board Violations

The United States Department of Justice is investigating Andreessen Horowitz for potentially violating antitrust laws by holding simultaneous board seats at competing AI companies.

The United States Department of Justice is conducting an antitrust investigation into venture capital firm Andreessen Horowitz to determine if its partners improperly serve on the boards of competing artificial intelligence companies. The probe, which has lasted nearly a year, focuses on the firm's involvement with Databricks Inc. and Fivetran Inc., both of which provide data collection and analysis software.

Federal prosecutors are examining whether these simultaneous board seats violate Section 8 of the Clayton Act, which prohibits interlocking directorates that could foster collusion. Specifically, co-founder Ben Horowitz serves on the board of Databricks, while partner Martin Casado serves on the board of Fivetran. This investigation marks a shift in the Justice Department's approach, moving from focusing on individual directors to scrutinizing the institutional practice of venture capital firms holding multiple seats across a single sector.

The probe is notable because Andreessen Horowitz and its co-founders are close political allies and significant financial supporters of President Donald Trump. While the Justice Department has not reached a final decision, such investigations typically result in directors resigning from one of the competing boards. The firm may challenge potential penalties by arguing that the law applies to individuals rather than the venture firm itself, as different partners hold the seats.
