Rain Enhancement Technologies to Acquire Tensor Networks in All-Stock Deal

Rain Enhancement Technologies Holdco, Inc. has entered into a binding letter of intent to acquire Tensor Networks, Inc. in an all-stock transaction. Under the terms of the agreement, Tensor Networks will operate as a wholly owned subsidiary alongside Rain Enhancement Technologies, Inc., with Tensor Networks equity holders expected to own approximately 90% of the combined entity.

The deal is scheduled to close in the first quarter of 2027, provided customary conditions are met and the company secures at least $25 million in gross proceeds from equity financing. The merger will trigger a leadership shift, with Tensor Networks founder Eric Frazier becoming CEO of the holding company and current CEO Randy Seidl transitioning to the role of President.

This combination aims to transform the company into a multi-technology platform by integrating weather modification technology with the predictive AI infrastructure security developed by Tensor Networks. Chairman Harry You described the move as a cutting-edge opportunity that aligns with the company's original corporate structure designed for acquiring additional businesses.
