C.H. Robinson to Acquire RXO in $5.8 Billion Deal
C.H. Robinson Worldwide agreed to acquire freight broker RXO for $5.8 billion to expand its North American logistics and last-mile capabilities.
C.H. Robinson Worldwide agreed to acquire freight broker RXO in a stock-and-cash transaction valued at $5.8 billion. The deal, which received unanimous approval from both boards, will create a combined logistics entity with an enterprise value exceeding $25 billion.
Under the terms of the agreement, RXO shareholders will receive $17.25 in cash and 0.0856 shares of C.H. Robinson common stock per share, a 29% premium over the October 2 closing price. C.H. Robinson will finance the cash portion through new debt supported by a bridge facility from Morgan Stanley Senior Funding and will suspend share buybacks until leverage returns to target levels.
The merger integrates C.H. Robinson's global multimodal platform with the North American brokerage and last-mile capabilities of RXO. C.H. Robinson plans to apply its Lean AI operating model to realize approximately $300 million in net run-rate cost synergies within two years. The transaction is expected to close in the first half of 2027, pending regulatory and stockholder approval.
