Spencer Spirit Holdings Negotiates $350 Million Hot Topic Acquisition
Spencer Spirit Holdings Inc. is in advanced talks to acquire teen retailer Hot Topic from Sycamore Partners for approximately $350 million.
Spencer Spirit Holdings Inc., the parent company of Spirit Halloween and Spencer's, is in advanced negotiations to acquire teen retailer Hot Topic. The potential deal is valued at approximately $350 million and could be officially announced as early as Tuesday, August 5, 2026.
The acquisition would transfer ownership from Sycamore Partners, a private equity firm that has owned Hot Topic for 13 years. Sycamore Partners originally took the company private in 2013 for roughly $600 million. The move would see Hot Topic's network of over 600 locations across the United States and Canada join the portfolio of mall-focused brands managed by Spencer Spirit Holdings Inc.
Neither company has officially confirmed the agreement, and a final deal has not yet been reached.
