NextCure Announces Avere Merger as Adar1 Capital Increases Stake

NextCure entered a 320 million dollar merger agreement with Avere Therapeutics while director Adar1 Capital Management purchased 329,153 shares of the company.

NextCure, Inc. entered into a 320 million dollar all-stock merger agreement with Avere Therapeutics, Inc., with the deal expected to close in the second half of 2026. Under the terms of the agreement, the combined entity will operate as Avere Therapeutics, Inc. on the Nasdaq.

Concurrent with the merger news, Adar1 Capital Management, LLC, which serves as a director and 10% owner of NextCure, increased its position in the company. Between July 27 and July 31, 2026, the investment firm acquired 329,153 shares of common stock for approximately 1.62 million dollars. These transactions occurred at prices between 4.80 and 5.00 dollars per share, while the stock was trading at 4.40 dollars, reflecting a nearly 19% decline over the preceding week. Adar1 Capital Management now indirectly holds 722,419 shares.

NextCure also reported clinical progress regarding its investigational drug SIM0505, which demonstrated a 55% response rate in treating gynecologic cancers.
